Benefit Corporation and was drawn up pursuant to the ExtraMOT Regulation (\u2018ExtraMOT Regulation\u2019). The Admission Document and the transaction described therein do not constitute a public offering of financial instruments nor an admission of financial instruments into a regulated market as defined by (It.) Legislative Decree no. 58 of 24 February 1998, as amended and added (the \u2018Consolidated Finance Act\u2019), by Consob Regulation no. 11971 of 14 May 1999, as amended and added (the \u2018 11971 Regulation\u2019) and by the equivalent legal and mandatory provisions applicable abroad. <\/p>

Publication of the Admission Document does not require authorisation by Consob pursuant to EU Directive no. 2003\/71\/EC or any other rule or regulation governing the drafting and publication of information schedules pursuant to Articles 94 and 113 of the Consolidated Finance Act, including Regulation 11971.
